Marketplace Seller Terms

These Marketplace Seller Terms ("Seller Terms") govern the sale of training plans through the Gradescale marketplace ("the Marketplace"). They apply in addition to the Gradescale Terms of Service. By accepting these Seller Terms during marketplace onboarding, you agree to be legally bound by them. Your acceptance is recorded with a timestamp for legal compliance purposes.

1. Seller Status and Payments

Sales on the Marketplace are processed through your own Stripe account, created or connected during onboarding via Stripe Connect. Charges for your plans are made directly on your Stripe account: you are the merchant of record for every sale of your plans. Your relationship with Stripe is governed by the Stripe Connected Account Agreement and the Stripe Services Agreement, which you accept during Stripe onboarding. Gradescale never holds your funds; payouts are made by Stripe to your bank account according to your Stripe payout schedule.

2. Platform Fee

Gradescale charges a platform fee of 15% of the gross sale price of each transaction, collected automatically as an application fee at the time of sale. Stripe's payment processing fees are charged to your account separately by Stripe. The remainder of each sale settles to your Stripe balance.

3. Tax and VAT Responsibility

As the merchant of record, you are solely responsible for all tax obligations arising from your sales, including but not limited to: determining whether and where you must register for VAT, GST, sales tax, or equivalent; calculating, collecting, and remitting any such taxes on your sales; issuing invoices or receipts where required by law; and declaring marketplace income to your local tax authorities. Gradescale does not calculate, collect, or remit taxes on your behalf and does not provide tax advice. If you are unsure of your obligations, consult a qualified tax adviser before listing plans.

4. Your Content and Liability

You are solely responsible for the training plans you publish: their content, quality, safety, accuracy, and suitability for the athletes who buy them. You represent that your plans are your own work or that you hold the rights to publish them, and that they do not infringe any third party's intellectual property. You agree to indemnify and hold harmless Gradescale from claims arising out of your plans or your conduct as a seller. Gradescale provides the Marketplace "as is" as an intermediary platform and, to the maximum extent permitted by law, accepts no liability for transactions between sellers and buyers, for the outcomes of training plans, or for injury or loss arising from their use. Buyers are separately covered by the Gradescale Health & Fitness Disclaimer.

5. Content Policy

Plans listed on the Marketplace must not contain: medical claims or medical advice (training plans are coaching content, not healthcare); doping-related content or guidance that violates anti-doping rules; content copied from other coaches, platforms, or publications without rights; misleading claims about guaranteed results; or offensive, discriminatory, or unlawful material. Plan descriptions must honestly represent the plan's content, target athlete, and required equipment. Gradescale may review listings and may unpublish or remove any listing that violates this policy, with or without notice, and may suspend marketplace access for repeated or serious violations.

6. Refunds and Disputes

Because charges are made on your Stripe account, refunds and payment disputes (chargebacks) are handled on your account and are your responsibility, including any dispute fees charged by Stripe. Gradescale may, at its discretion, assist in mediating buyer complaints. The platform fee on a fully refunded sale is returned to you.

7. Changes to These Terms

Gradescale may update these Seller Terms. Material changes will be announced in the app or by email, and continued selling after the effective date constitutes acceptance of the revised terms. The version and date at the top of this page identify the current terms.
